Terms of Service
1. Acceptance of These Terms
By (a) activating an Adaptify AI agent, (b) accessing the Adaptify dashboard or API, or (c) paying any invoice issued by Amplify Labs LLC (“Amplify Labs,” “we,” “our,” “us”), you (“Customer,” “you,” “your”) agree to these Terms of Service (“Terms”) on behalf of the legal entity you represent. If you do not agree, do not use the Service.
2. Definitions
Amplify Labs – Amplify Labs LLC, a Wayooming limited-liability company, doing business as “Adaptify
Service – Adaptify’s hosted AI call-answering, SMS follow-up, and related integrations.
Agent Minutes, Client Data – unchanged from prior draft.
“Client Data” – Audio recordings, call transcripts, caller IDs, CRM objects, and any other data you or your callers supply.
3. Eligibility, Accounts & Security
You must be at least 18 and have authority to bind the Customer entity. Keep log-in credentials secure and notify Adaptify immediately of any unauthorised use.
4. Scope of Services
Core Functionality – 24/7 AI call-answering, missed-call SMS, appointment scheduling, and webhook/CRM integrations.
Uptime – Target 99.9 % monthly availability. If monthly uptime falls below 99.0 %, you may request a service-credit equal to 5 % of that month’s usage fees for every additional 30-minute qualifying outage, up to 100 % of usage fees for that month.
Support – Email & in-dashboard chat, Mon–Fri 9 am–6 pm [Pacific Time].
5. Fees & Billing
One-time setup: USD $490. Per phone line / agent
Usage: USD $0.25 per Agent Minute. 6-second billing blocks
Payment method – Auto-billed credit/debit card or secure payment-link (due on receipt, net 7).
Fees exclude taxes; you are responsible for all applicable taxes.
6. Term, Suspension & Termination
Month-to-month; cancel any time via email or dashboard with 24 h notice.
We may suspend service for non-payment, excessive abuse of the network, or AUP violations.
No early-termination or refund obligations.
7. Acceptable-Use Policy (AUP)
No illegal, harassing, or deceptive calls or messages; no spam, robocall scams, or content that infringes intellectual-property rights. Adaptify may monitor traffic patterns (not call content) to enforce fair-use limits.
8. Customer Responsibilities
Provide accurate call-flows, escalation contacts, and integration credentials.
Obtain all required consents from callers for recording, storage, and automated processing.
Maintain your own phone numbers, PBX forwarding rules, and downstream systems.
9. Privacy & Data
You own all Client Data; you grant Adaptify a limited licence to process it solely to deliver the Service and comply with law.
Call audio & transcripts are encrypted in transit (TLS 1.3) and at rest (AES-256).
Healthcare clients may request a separate HIPAA Business Associate Agreement (BAA).
Data-retention periods are described in the Privacy Policy and may be configured per account.
10. Confidentiality
Both parties agree to protect each other’s non-public business information with reasonable care and to use it only for performing under these Terms.
11. Intellectual Property
The Service, AI models, and all associated trademarks remain Adaptify’s property. Customer content remains yours. You may not decompile, replicate, or train competing AI agents on Adaptify output.
12. Disclaimers
Service is provided “as-is” and “as-available.” Adaptify disclaims all warranties not expressly stated, including merchantability, fitness for a particular purpose, and non-infringement.
13. Limitation of Liability
Adaptify’s aggregate liability under these Terms will not exceed the fees you paid in the twelve (12) months preceding the claim. Adaptify will not be liable for indirect, incidental, punitive, or consequential damages.
14. Indemnification
Each party will defend and indemnify the other against third-party claims arising from its own (a) unlawful content or scripts, (b) breach of these Terms, or (c) violation of law.
15. Governing Law & Venue
These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflicts principles. The courts located in the United States, Wyoming will have exclusive jurisdiction. The parties waive class-action proceedings.
16. Changes to Terms
We may update these Terms by posting a revised version on the Adaptify website and emailing the account owner at least 15 days in advance. Continued use after the effective date constitutes acceptance.
